These Terms & Conditions ("Terms") are an agreement between you and Murv Automation LLC ("Murv Automation," "we," "us," or "our"). They govern your use of murvautomation.com, our forms, chat, phone and text messaging, and booking tools, and — for clients — the website, automation, and related services we provide (together, the "Services"). By using the Services or signing a proposal, order, or invoice with us, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind it.
1. Our Services
Murv Automation helps home-service and trade businesses run the work outside the job itself. Services may include:
- Website design, build, and hosting;
- Lead capture (forms, chat, call and missed-call text-back);
- Email handling and automated responses;
- Scheduling, booking, reminders, and follow-ups;
- Marketing and review-request automations;
- CRM setup, reporting, and AI-assisted workflows; and
- Ongoing maintenance and support.
The specific services, deliverables, timeline, and fees for each client are set out in a proposal, order form, statement of work, or invoice (an "Order"). If an Order conflicts with these Terms, the Order controls for that engagement.
2. Fees and payment
- Project fees. Website builds and one-time setup work are billed as stated in the Order. Unless the Order says otherwise, a deposit is due before work begins and the balance is due at launch.
- Recurring fees. Maintenance, hosting, and automation plans are billed monthly in advance and renew automatically until cancelled as described in Section 9.
- Add-ons. Additional automations or changes outside the agreed scope are quoted and billed separately.
- Pass-through costs. Usage-based costs from third-party platforms (for example, SMS and phone usage, email sending, domain registration, or premium tools) may be billed to you at cost or as stated in the Order.
- Late payment. Invoices are due within the time stated on the invoice. We may pause Services, including hosting and automations, if an account is more than 15 days past due.
- Refunds. Deposits and fees for work already performed are non-refundable, except where required by law or stated in the Order.
- Fees do not include taxes; you are responsible for applicable taxes.
3. Client responsibilities
- Provide accurate business information, content, and timely feedback and approvals. Delays on your side may extend timelines.
- Provide access to accounts we need (such as your domain, email, calendar, or review profiles) and keep your own login credentials secure.
- Make sure you have the rights to all content you give us (logos, photos, text, customer lists) and that it does not infringe anyone's rights.
- Review content before it goes live. You are responsible for the accuracy of your business claims, pricing, licensing, and service descriptions.
- Use the Services lawfully, including laws on marketing, calls, texts, email, and privacy.
4. Messaging and marketing compliance (clients)
If we set up texting, calling, or email campaigns for your business, you are the sender of those messages. You are responsible for obtaining and keeping proper consent from your contacts, honoring opt-outs, and complying with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, carrier rules (including A2P 10DLC registration), and similar laws. We will configure standard opt-out handling, but we are not responsible for messages sent to contacts who did not consent or for lists you provide.
5. SMS / text message terms
Program: Murv Automation text messages.
What you'll receive: Replies to your inquiry, appointment confirmations and reminders, service updates, and follow-ups. If you separately opt in to marketing, you may also receive occasional promotional messages.
Frequency: Message frequency varies.
Cost: Message and data rates may apply.
Opt out: Reply STOP at any time to stop receiving messages. You will receive one confirmation message and no further texts unless you opt in again.
Help: Reply HELP, email [email protected], or call (760) 400-6570.
Consent: Consent to receive text messages is not a condition of any purchase.
Carriers: Wireless carriers are not liable for delayed or undelivered messages.
Privacy: See our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
6. Third-party platforms
Our Services are built on third-party platforms, including our CRM and marketing platform (HighLevel / LeadConnector), hosting providers, domain registrars, phone and SMS carriers, email providers, payment processors, and AI service providers. Your use of features that rely on these platforms may also be subject to their terms. We are not responsible for outages, changes, pricing changes, or policy decisions by those providers, but we will work with you in good faith to minimize disruption.
7. AI-assisted features
Some automations use artificial intelligence to draft replies, summarize messages, sort leads, or extract information. AI output can be inaccurate or incomplete. You are responsible for reviewing AI-generated content and deciding whether to rely on it, especially for quotes, pricing, safety, legal, or licensing matters. You can ask us to require human approval before any AI-drafted message is sent.
8. Ownership and intellectual property
- Your content. You keep all rights to content and data you provide, and to the leads and customer data collected for your business. You give us a limited license to use it to deliver the Services.
- Your website. Once all fees for a website build are paid in full, you own the final custom design and content created specifically for you, excluding the items below.
- Our tools. We keep ownership of our templates, workflows, automation logic, snapshots, code libraries, know-how, and anything we developed before or independently of your project. Where these are part of your deliverables, you receive a non-exclusive license to use them for your business while you are a client (and, for website components, after the relationship ends).
- Hosted systems. Automations and sites hosted in our platform accounts remain in those accounts. If you leave, we will provide a reasonable export of your data and website content, or help transfer the site to an account you control, subject to paid-up fees and any reasonable migration fee stated in the Order.
- Portfolio. Unless you tell us otherwise in writing, we may display your business name, logo, and the work we did for you in our portfolio and marketing.
9. Term, cancellation, and termination
- Monthly plans may be cancelled by either party with 30 days' written notice (email is fine). Cancellation takes effect at the end of the then-current billing period.
- Either party may end an engagement immediately if the other materially breaches these Terms and does not fix the breach within 10 days of written notice.
- On termination, you pay for all work performed and fees accrued through the termination date. Hosted websites and automations may be turned off after the final paid period unless a transfer is arranged.
- Sections that by their nature should survive (including payment, ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.
10. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform or receive the Services, except where disclosure is required by law.
11. Acceptable use
You may not use the Services to send spam or unsolicited messages; to violate any law or anyone's rights; to distribute malware; to interfere with or reverse engineer our systems; or to publish false, misleading, or deceptive content. We may suspend Services that are being used in violation of this section.
12. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific number of leads, calls, bookings, search rankings, revenue, or other business results, or that the Services will be uninterrupted or error-free.
13. Limitation of liability
To the fullest extent permitted by law, Murv Automation will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or related to the Services. Our total liability for any claim related to the Services will not exceed the amounts you paid us for the Services in the three (3) months before the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Murv Automation and its owners and contractors from claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your messages and marketing campaigns, your business services, or your violation of these Terms or applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The parties will first try to resolve any dispute informally by contacting each other in writing and negotiating in good faith for 30 days. If unresolved, any legal action will be brought exclusively in the state or federal courts located in San Diego County, California, and each party consents to that venue. Either party may bring qualifying claims in small claims court.
16. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. For existing clients, material changes take effect 30 days after notice unless you agree sooner. Continued use of the Services after changes take effect means you accept them.
17. General
These Terms, together with any Order and our Privacy Policy, are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of our business. Neither party is liable for delays caused by events beyond its reasonable control. We are an independent contractor, not your employee, partner, or agent.
